Confidentiality Agreement, Non-Disclosure Agreement (CDA, NDA)
In Confidentiality Agreement parties agree that no business secrets and confidential information are published. In general all information are considered confidential that are not available for the public and those that being kept as confidential is of high importance for a certain person. Early publication of research results may have a negative effect on further chances of protection and utilization of the research results. Hence it is strongly advised to thoroughly investigate the necessity of signing a Confidentiality Agreement in cases when the university researcher is planning on introducing his results to third parties.
Confidentiality Agreement is of crucial importance in the following cases
- negotiations about inducing a mutual research project;
- introducing results that may be subject to patent;
- introducing a potentially interesting idea/concept to a third party for whom the business idea/concept may induce (business ) advantages.
