Cooperative Research Agreement, Research Consortium Agreement
Cooperative Research Agreement is a written agreement signed by the University and one or more parties in order to implement a project or research programme included in the mutual scientific interest of the parties. The main purpose of this is enhancing and transferring knowledge in accordance with educational and research strategy of the university. Cooperative Research Agreement supposes substantive research development activities performed by all parties. The following types of agreements are considered as Cooperative Research Agreement: those syndicate agreements that are signed in order to implement a project publicly funded (national, EU, international) and also Cooperative Research Agreement aiming at implementation of the project supported by industrial partner.
In Cooperative Agreement the following are advised to be disposed of
- proper and detailed determination of research tasks to be performed by parties set for the parties and divided into professional and timeframe related milestones;
- future plans regarding Intellectual property rights formed prior to signing the contract (Background IP);
- future plans regarding Intellectual property rights originating from activities performed according to the contract (Foreground IP);
- confidentiality rules;
- publication conditions of research results;
- sharing technological, business and economic risks;
- taking responsibility and compensation.
Intellectual property under cooperative agreement
- Regarding Intellectual Property rights formed under Cooperative research Agreement Parties intellectual cooperation rate (authorization rate) is taken into consideration when agreeing on utilization rights (authority).
- The priority rights of familiarizing with the project or research programme results and at the same time for receiving optional rights of licensee rights based on charging (upfront, royalty) is received by the corporation with interest in utilization, under Cooperative Agreement
- The researchers at the university shall be granted opportunities to publish their research results of the project or research programme supported by Cooperative Agreement at the latest following the reasonable deadline of applying patent notice.
Employees
Researchers involved in the research activity undertaken within the framework of the Research Agreement shall be employed by the university if possible. If a person employed by a third party works on the infrastructure of the university, which is an extraordinary case, the person’s data, place of work, duration of work are transferred to the head of Technology and Knowledge Transfer Office. Data has to be shared for the sake of proper confidentiality.
